1. Definitions
- “Company” refers to Live Auditors & Chartered Accountants LLC, a limited liability company incorporated in United Arab Emirates.
- “Confidential Data” includes but is not limited to Personal Data, financial data, login credentials and any other data that may be considered as confidential.
- “Customer” refers to any individual or entity purchasing products/services through the website.
- “Data” means a representation of information, facts, concepts, opinions or instructions in a manner suitable for communication, interpretation or processing by human beings or by automated means.
- “Documentation” means user manuals, training materials, Software descriptions and specifications, technical manuals, license terms of use, supporting materials and other information relating to the Software or services offered by Tally, whether distributed in print, electronic, CD-ROM, or video format, or if published online.
- “Personal Data” refers to any data about the User who is identifiable by or in relation to such data.
- “Products” include Tally software licenses, Tally Cloud hosting services, and TDL (Tally Definition Language) customizations.
- “Services” include installation, configuration, migration, support, and related technical assistance.
- "Software" shall include the proprietary software application - TallyPrime, TallyPrime Server, Tally.ERP9 which include any prior versions, updates, documentation, Tally Software Services (defined below), TPCA (defined below), and any other value-added services, plug-ins and related materials.
- “Tally Partners” shall mean businesses/individuals who are authorized to sell software and services by Tally including but not limited to Tally Distribution partners (TDP), Master Tally partners (MTP), Direct Tally Partners, Certified partners (CP) and Associate partners (AP).
- “TallyPrime” shall mean the accounting and business management software developed and owned by Tally Solutions Private Limited and is designed to assist businesses in managing their accounting, compliance, inventory, and financial operations. Users purchase the software off-the-shelf, and it is deployed locally on the User’s premises, server, or other designated environments.
- “TallyPrime Cloud Access” or “TPCA” refers to the services that enables You to access TallyPrime anytime, from anywhere. Hosted on Cloud Infrastructure (CI), TPCA, a secure cloud platform enables real-time collaboration, seamless data access, and hassle-free IT management.
- “User”, “You” or “Your” shall mean any individual, business entity or organization who/ which uses the Software, including but not limited to customers who have purchased/obtained the rental option of the Software.
2. Nature of Products
2.1 Tally Licenses
All Tally software licenses are governed by the terms of TallyPrime and issued in accordance with policies of Tally Solutions Pvt. Ltd. We act as an Authorised Gold Partner of Tally Solutions Pvt. Ltd. License activation is subject to Tally’s verification and approval. Customers must comply with the End User License Agreement issued by Tally Solutions.
- Silver edition (Single User) is designed for single-user usage. Only one User can access the license at a time in a machine. Any such activations without surrendering the license from the existing machine, shall lead to the temporary suspension / termination of your license.
- Gold edition (Multi – User) is tailored for businesses that need multi-user access and support. Multiple users can access the license at the same time in a LAN environment.
- Auditor Version is a specialized edition of TallyPrime developed by Tally Solutions Pvt. Ltd., intended exclusively for Audit Firms to perform audit, compliance, and verification activities on client data.
- Tally Software Services (TSS) is a software subscription that offers add-on services to the Software to keep Users up to date. Tally provides an initial 12-month validity of TSS with every new perpetual Software license purchased.
2.2 Tally Cloud Services
The Company provides cloud hosting infrastructure enabling remote access to licensed Tally software. The Company does not sell the Tally software license unless explicitly mentioned. Hosting uptime depends on third-party data center providers. The Company does not modify or alter the core Tally software. Internet connectivity is the customer’s responsibility.
2.3 TDL (Tally Definition Language) Customizations
TDLs are custom-developed modules or add-ons for Tally software. The company does not modify core source code of Tally Software. The Customer must have a valid licensed version of Tally. The company is not responsible for the incompatibility caused by outdated or pirated software. TDL compatibility with new Tally versions is not automatically guaranteed.
3. Orders & Payments
All prices are displayed in AED. The customer has the option to choose the product and make the payment through the portal. Payment methods available will be displayed at the checkout. Visa or MasterCard debit and credit cards in AED will be accepted for payment. The displayed price and currency at the checkout page will be the same price and currency printed on the Transaction Receipt.
Once the payment is done by the customer, an order confirmation and payment receipt acknowledgement mail will be sent to the customers within 24 hours. For the monthly payment services, the payment shall be auto debited from the customers’ mode of payment. Any default in payment will lead to the cancellation of service without prior notice. Taxes (including VAT, if applicable) will be charged extra which will be shown in the cart at the time of checkout.
4. Delivery & Activation
The customer will be contacted immediately after the confirmation email is sent, by using the contact information provided by the customer through the portal. The product will be activated within 48 hours of order confirmation. The activation time can be varied if the customer opts for a different time based on his/her convenience. The Company shall not be liable for delays caused by incomplete documentation or incorrect information provided by the Customer.
5. Refund & Cancellation Policy
Cancellation of order can be done by the customer within 24 hours but the refund amount will be limited to 50% of the total amount. The refund will be done through original mode of payment and will be processed within 10 to 45 days depending on the issuing bank of the credit card.
6. Customer Responsibilities
The Customer agrees not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Modify, adapt, or create derivative works based on the Software.
- Sublicense, rent, lease, sell, distribute, assign or otherwise transfer the Software to any third party.
- Upload, post, transmit or otherwise make the Software accessible via publicly-accessible repositories, file-sharing, or cloud storage platforms.
- Alter or disable licensing functionality such as tampering with activation checks or using modified software to enable unauthorized reuse or multiple activations.
- Use the Software for any unlawful purpose or in any manner that violates any applicable law or regulation.
- Evade license restrictions by using unapproved tools, impersonation, or activating the software from multiple places or devices.
- Register as a User of the website and shall not transact on or use the website if he/she is a minor or under the age of 18.
In the event of a User engaging in any of the aforementioned actions, Tally reserves the right to take any action it deems appropriate, including suspending access to the Software or revoking the license without refund.
The customer agrees to:
- Keep all information obtained through our services confidential and not disclose it to third parties.
- Indemnify, defend, and hold harmless Tally, its respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or related to User's use of the Software.
- Provide company with all necessary information which is complete and accurate at the time of placing the order for the purpose of registration and billing.
- Retain a copy of transaction records and https://store.liveauditing.com policies and rules.
7. Intellectual Property
All title, ownership rights, and intellectual property rights in and to the Software, including but not limited to patents, copyrights, trademarks, trade secrets, and other proprietary rights, shall remain with Tally.
8. Limitation of Liability
The Company shall not be liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid for the specific product/service. The Company is not responsible for data loss due to hardware failure, cyber incidents, or user negligence. Customers are advised to maintain backups of data on a daily basis.
9. Third-Party Services
Cloud hosting, payment gateways, and certain integrations may be provided by third parties. The Company is not responsible for interruptions or failures arising from such third-party services.
10. Support & Maintenance
Scope of support will be as per the purchase plan of each product. Support hours and response timelines will be communicated separately if applicable to the purchased product. On-site support (if required) will be chargeable.
11. Compliance & AML Declaration
The Company reserves the right to:
- Request identification and verification documents.
- Refuse service if suspicious or unlawful activity is suspected.
- Comply with applicable Anti-Money Laundering (AML) and regulatory obligations.
We will not trade with or provide any services to OFAC and sanctioned countries.
12. Privacy Policy
Customer data is handled in accordance with our Privacy Policy available on the website. The Privacy Policy explains how we collect, use and share information across Tally, Tally’s Partners, Service Providers, regulators and law enforcement agencies.
13. Governing Law & Jurisdiction
United Arab of Emirates is our country of domicile and stipulate that the governing law is the local law. These Terms & Conditions shall be governed by the laws of United Arab Emirates and any purchase, dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of UAE.
14. Amendments
The Company reserves the right to modify these Terms & Conditions at any time. The Website Policies and Terms & Conditions may be changed or updated occasionally to meet the requirements and standards. Therefore, the Customers’ are encouraged to frequently visit these sections to be updated about the changes on the website. Modifications will be effective on the day they are posted.
